Please read the following Terms of Use (“Terms of Use” or “Terms”) of the Sofy App (“App”).

Please read the Terms carefully before logging in to the App and/or accessing the App and/or Features and/or using the Features in any manner whatsoever. The App is owned and operated by the Company, i.e., Unicharm India Private Limited.

You will be bound by the Terms of Use set forth herein and the Privacy Policy available here Privacy Policy These Terms of Use and the Privacy Policy constitute a valid and legally binding arrangement between You and Us/ Unicharm India Private Limited.

By logging in and/or accessing the App and/or Features and/or using the App, and/or Features You agree to be bound by these Terms, the Privacy Policy including any additional guidelines and future modifications, amendments, enhancements, deletions/reductions in the Facility and/or the App.

If You find any of these Terms or any provisions of the Privacy Policy unacceptable, do not tender Your acceptance to use the App or any of its Features and do not access or use the App and the Feature. Your continued use of the App and/or Feature shall be treated as your acceptance of these Terms. You acknowledge that the Company is providing You with a revocable, limited, non-exclusive, and non-transferable license to use the App and the Features of the App.

When You use the App, You will be subject to these Terms of Use. We may update these Terms of Use from time to time and you shall keep yourself updated about such amendments. Your continued use and/or access of the App and/or the Feature shall be treated as acceptance of these Terms by You. Please ensure You read our following Terms of Use and any updated version when You use and/or access the App and/or it's any Features thereof.

• Interpretation: The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

• Definitions: For the purposes of these Terms of Use & Privacy Policy:

  • “App” means the software application /program named “Sofy” owned and made available by the Company for download on the App Store and which may be accessed by the End User for accessing and/or utilizing the Facility subject to these terms,

  • “App Store” means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the App has been downloaded,

  • “Affiliate”means an entity that controls, is controlled by, or is under common control with a Party,

  • “Country”refers to India,

  • “Company" or "We" or "Us"or"Our" means Unicharm India Private Limited which expression shall, wherever the context permits, admits or requires, be deemed to mean and include its affiliates, subsidiaries, successors in interest and permitted assigns,

  • "Confidential Information" refers to any and all information disclosed by the Company to the end user that is identified as confidential or proprietary, or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of its disclosure. This includes, but is not limited to, business plans, strategies, forecasts, and analyses; technical information such as software, hardware, product designs, algorithms, source codes, processes, and methodologies; financial information including financial statements, budgets, projections, and pricing strategies; customer information such as customer lists, contact information, and customer preferences; marketing information including marketing plans, research, and strategies; proprietary information; and personal data about employees, contractors, or agents of the Company. Confidential Information may not include information that becomes publicly available without breach of these Terms of Use by the End User, was known to the End User prior to disclosure by the Company without any obligation of confidentiality, is disclosed to the user by a Third Party who had the right to make such disclosure without any confidentiality restrictions or is independently developed by the user without use of or reference to the Company's Confidential Information. The End User agrees to use the Confidential Information solely for the purpose for which it was disclosed and not to disclose it to any Third Party without the prior written consent of the Company. The End User must take all reasonable measures to protect the confidentiality of the information and prevent unauthorized use or disclosure.

  • “Data” means any information and facts uploaded by You End User in the App and/or Facilities and/or which is processed & stored in the App/server/Facilities by You.

  • “Device”means any mobile and/or any other device approved by the Company for access using which the App and its Features can be accessed.

  • “Features” refers to Clause 6 in the Terms of Use, having various features, programs, and applications, made available by the Company on the App and /or amended/modified/updated/reduced from time to time.

  • “Intermediary” or “Processor” means any person who on behalf of the Company receives, stores, or transmits that record or provides any service/Features with respect to the record and includes network service providers, internet service providers, etc.

  • “Personal Information” means any information related to a natural person which either directly or indirectly, in combination with other information such as physical, physiological, and/or health condition, sexual orientation, is capable of identifying such person for information processing, stored or processed under law or contract.

  • “Terms of Use” or “Terms”refers to this legal document as per the laws of the Country between the Company and the End User, which regulates the terms of usage of the App by the End User and the rights that the Company retains.

  • “Third Party" means any Features or content (including data, information, products, or Features) provided by a third party that may be displayed, included, or made available by the Service Provider.

  • “You” or “End User” means an adult individual accepts the Terms and accesses the App and/or the Features of the App and/or utilizes the Features for the self or on behalf of the minor, as a guardian.

• Disclaimer: Information provided and collected herein and/or in the App and/or in the Features are intended solely for informational and educational purposes only and should not be in any way construed as medical advice. If You have any concerns about Your own health or Your child’s well-being or have any other concerns or questions about the content of this App and/or Features, please seek immediate medical advice by consulting a registered physician or other healthcare professional. The information provided in this App and/or Features should not be considered a substitute for, nor does it replace, professional medical advice, diagnosis, or treatment.

  By accessing this app, You acknowledge that it does not establish a physician/patient, privileged, or any other relationship that would create any obligations on our part. We do not endorse any specific tests, diagnoses, procedures, opinions, or other information that may appear on this App. We are not responsible for any actions taken based on the information provided by this App and/or Features. The access/use/application of any information provided on App and/or Features is solely at Your own risk. The Company assumes no liability for the interpretation or use of the information contained herein and/or on App and/or in the Features.

  Additionally, while due care and caution has been taken to ensure that the content provided in this App and/or the Features may remain free from mistakes and omissions, the Company makes no claims, promises, completeness or adequacy and/or give any warranty of the information provided in the App and/or the Features, and the Company assumes no liability or responsibility for claims, errors or omissions of the information contained in the App and/or Features.

• User Generated Content: In the respect of data, text, emails, files, names, likenesses, logos, artwork, graphics, images, video, audio, HTML or other web design code, images maps, audio, HTML, or other web, software applications and other content or material uploaded, sent or communicated by You or on Your behalf to the App, You acknowledge and agree that You are responsible for:

  • The suitability, installation, configuration, uploading, downloading, use operation, communication, accuracy and legality of the End User generated content and;

  • The backup of the End User Generated Content and any other data or files, unless otherwise expressly agreed by Us

  You grant Us a non-exclusive, worldwide, royalty-free, transferable, and sub-licensable license to use, reproduce, publish, distribute, perform, adapt, amend, enhance, and communicate user-generated content. This license allows Us to share this content with such persons as we determine for any purpose related to the App and Our business, in accordance with Our Privacy Policy.

• Acceptance of Terms

  • By accessing or using this App, You confirm that You have read, understood, and agree to be bound by these Terms and any future modifications. Your use of the App expresses Your free consent and acceptance of these Terms.

  • To accept these Terms, You must be at least major or meet the legal age requirement in Your jurisdiction for entering into a binding contract. If You are a minor or below the legal age in Your jurisdiction, You may only use the App if Your guardian agrees to these Terms and has reviewed and understood the Privacy Policy on Your behalf.

  • To accept these Terms, You must be major or meet the legal age requirement in Your jurisdiction for entering into a binding contract.

  • If You are under the legal age required to form a binding contract in Your jurisdiction, Your guardian must provide consent for You to use the App. However, You may use the App and Features only under the guardian’s guidance and the guardians shall only be responsible and liable to use and operate the App and/or Features on behalf of the minor. The guardian must read, understand, and agree to these Terms and the Privacy Policy on the minor's behalf.

  • You agree to comply with all applicable laws and regulations including but not limited to local, state, national, and international laws, rules, and regulations applicable to Your use of the App and/or the Features.

  • We reserve the right to change these Terms at any time. Any changes will be posted in this App and/or Features, and it is Your responsibility to review these Terms regularly. Continued use of the App following any changes constitutes Your acceptance of the new Terms.

  • In consideration of Your use of the App, You represent that You are of legal age to form a binding contract and are not a person barred from receiving/using/accessing the App and/or Features under any law in force in India. You are entitled to use the App and Features only in India and the laws of India shall be applicable in case of any disputes.

  • You also agree to: (i) provide true, accurate, current, and complete information about Yourself as prompted on the App and/or the Features; (ii) maintain and promptly update Your data to keep it true, accurate, current, and complete.

  • Your use of the Features and correctness of the any outcome shown by the Features is dependent on the information shared by You. However, We do not guarantee or warrant that such results will be accurate, or You can use it as medical advice. You must take medical advice from the registrar practitioner for anything You are searching for on this App and/or the Features before You take any action based on information available on the App and/or Features.

  • If You provide any information that is untrue, inaccurate, not current or incomplete, or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, We reserve the right to terminate or suspend Your access to the App and/or Facilities (or any portion thereof) at any time, without notice, for conduct that we believe violates these Terms or is harmful to other End Users of the App, Us, or Third Parties, or for any other reason at Our sole discretion.

  • You may access the App as is and as available basis for Your personal use only. You cannot use the App and/or Features for any commercial purpose or for reselling or for any commercial or personal gains.

  • You are granted a non-exclusive, non-transferable, revocable license to access and use the App and/or Features in India strictly in accordance with these Terms.

  • You will be required to enter a valid phone number while registering on the App. By registering Your phone number with Us, You consent to be contacted by Us via phone calls, SMS notifications, and/or e-mails, and/or WhatsApp and/or any other medium of communication in relation to the App and/or Features and/or any facilities made available on the App by Us and/or for any query resolution and/or sending the marketing combination in relation to Our Features.

  • You agree not to use the App for any unlawful purpose or in any way that could harm, disable, overburden, or impair the App. You also agree not to interfere with the security of, or otherwise abuse, the App, or any Features, system resources, accounts, servers, or networks connected to or accessible through the App. You shall use and access the App and/or Features only for the purpose of viewing the information available on the App and/or the Feature.

  • Any content You provide or upload to the App must not violate any Third-Party rights, including intellectual property rights, privacy rights, or other personal or proprietary rights. You are solely responsible for any content You provide or upload

• Features

  • To utilize any Features offered by us, You must register and create an account within the App. This process requires You to provide personal information. You are responsible for maintaining the accuracy and confidentiality of Your account information and for all activities that occur under Your account.

  • The App provides Features designed to assist You in tracking Your menstrual cycles ("Cycles"). By updating Your personal information, the App can help monitor Your cycle flow duration and predict Your next Cycle. The accuracy of these predictions depends on the data You provide. However, We do not warrant or guarantee that such predictions shall be correct and should be relied upon.

  • The App provides the following features:

    • Menstrual Cycle Tracking:

      • Calendar-based tracking of menstrual cycles, including start and end dates.

      • The ability to record flow intensity, mood swings, and other related symptoms.

      • Options for users to customize cycle lengths and period duration, In case of ideal deviation, app would suggest user to visit a registered physician or other healthcare professional as per their domain expertise.

    • Cycle Predictions:

      • Predictive algorithms to estimate future periods and ovulation dates.

      • Notifications and reminders to alert users about upcoming periods and fertile windows.

    • Users can set personalized reminders for below-mentioned items with an option to choose notification as they want considering they might be sharing phone with family:

      • Period

      • Water

      • PMS

      • Symptoms

    • Journal:Express Authentic Emotions

  • We do not guarantee the continuous availability, consistency, or stability of the App and/or Features. Our Features are subject to change, and We reserve the right to modify, suspend, or discontinue any aspect of the App at any time without notice and without requiring Your consent.

  • The App includes a feature that automatically syncs the data You enter to Your registered email address. This ensures You have a backup of Your information and can access it as needed.

  • For added security, the App allows You to Passcode protect Your account. We recommend enabling this feature to safeguard Your Personal Information.

  • You are responsible for all information You provide and for keeping Your account secure. You agree to notify Us immediately of any unauthorized use of Your account or any other breach of security.

• Health Disclaimer

  • Any information provided to You through this App, including, but not limited to, any predictions, insights about the End User’s mensuration cycles, and/or advice should not be treated as medical advice, diagnosis, or treatment, and is intended for educational purposes only. You should not be considered a substitute for professional medical advice, diagnosis, or treatment. We strongly recommend consulting with a qualified doctor for any questions or concerns You may have regarding Your Cycles or overall health.

  • This App is designed to help You track Your Cycle based on the information You enter. It is not intended to be used as a method of contraception or conception. The Company cannot be held responsible for any outcomes related to these specific uses.

  • WE UNDERSTAND THE IMPORTANCE OF YOUR HEALTH. NEITHER THE COMPANY NOR ITS OFFICERS AND EMPLOYEES ARE QUALIFIED TO PROVIDE MEDICAL ADVICE OR PROGNOSIS. WE DO NOT OFFER SUCH FEATURES THROUGH THIS APP AND/OR FEATURES. PLEASE CONSULT YOUR DOCTOR AND PROFESSIONALS FOR ANY HEALTH-RELATED CONCERNS.

  • You expressly waive and release any claim that You may have against the Company or its directors, employees, agents, contractors, Affiliates, and representatives at any time for any health concerns or issues of any kind that You may experience as a result of Your use of the App and/or its Features.

  • The App/Facilities may mention specific tests, physicians, products, procedures, opinions, or other information. However, the Company does not recommend or endorse any of these. You rely on any such information at Your own risk. The App /Facilities and its content are provided "as is," without any guarantees or warranties.

  • The App and/or Facilities are provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the App and/or Facilities, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the App and/or Facilities will meet Your requirements, achieve any intended results, be compatible or work with any other software, apps, systems or features, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

  • Without limiting the foregoing, neither the Company nor any of the Company's service providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the App and/or Features, or the information, content, and materials or products included thereon; (ii) that the App and/or Features will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the App and/or Features; or (iv) that the App and/or Features, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, time bombs or other harmful components.

  • Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

• End user Account, Password, and Security

  • When the End user downloads the App the End User may be required to create an account by entering the mobile number, OTP, and passcode. You are responsible for maintaining login credentials confidential, including your passcode and account information. You shall be fully responsible for all activities that occur to Your account with Your credentials. You If suspect that Your passcode has been compromised, You can change it immediately using the “forgot passcode" functionality provided within the App. You shall be solely responsible and liable for misuse of Your login and/or the information available on the App/Features.

• Prohibited Conduct

  • You agree that You shall not use the App/Facilities in order to host, display, upload, modify, publish, transmit, update, distribute, share, store, or destroy material that is:

    • violates any applicable law or regulation of the law of the land;

    • Infringes on the copyright, trademark, trade secret, or other intellectual property or proprietary rights of others or violate the privacy, publicity, or other personal rights of others;

    • belongs to another person and to which the End User does not have any right to;

    • is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libelous, invasive of another’s privacy, threatening, abusive or hateful or racially, ethnically objectionable, disparaging, relating encouraging money laundering or gambling or otherwise unlawful in any manner whatsoever;

    • harm minors in any way;

    • deceives or misleads the addressee about the origin of such message or communicates any information that is grossly offensive or menacing in nature;

    • impersonate another person or entity;

    • contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of the Company’s computer systems or site or the Company’s End Users, customer’s computer systems or site;

    • threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states or of public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or insulting any other nation.

    • violates any applicable law or regulation of the law of the land;

  • If You become aware of misuse of the App by any person, please contact Privacy Policy

• Term, Termination, and/or Suspension of Account

  • These Terms of Use shall remain in full force and effect for as long as You use the App. Your continued use of the App constitutes Your acceptance of these Terms.

  • You may delete Your account at any time for any reason by following the instructions provided within the App. To delete Your account, navigate to the account settings or help section of the App and follow the specified steps.

  • Deleting Your account will result in the loss of access to all data, content, and features associated with Your account. The Company will not retain any of Your personal data post-deletion, except as required by law or as outlined in the Privacy Policy.

  • You agree that the Company reserves the right to terminate, restrict, or suspend Your access to the App at any time, for any reason or no reason, with or without prior notice, and without liability. This includes, but is not limited to, cases where:

    • You violate any terms.

    • You engage in conduct that the Company deems harmful to the App, other users, or the Company’s interests.

    • The Company discontinues the App or any part thereof.

  • In cases where there is suspicion of untoward or illegal activity associated with Your account, the Company may immediately suspend or terminate Your account. Such activities include, but are not limited to:

    • Fraudulent activities.

    • Unauthorized use of the App.

    • Any activities that violate applicable laws or regulations.

    • We may, but are not obligated to, provide notice of such termination, restriction, or suspension.

    • If Your account is terminated or suspended, You may contact the Our customer support for information on the reason for such action and to appeal the decision, if applicable.

  • Upon termination or suspension of Your account:

    • You must immediately cease all use of the App

    • Any rights granted to You under this Terms of Use will cease immediately.

    • The Company reserves the right to delete or disable Your account and all related information and files in Your account.

  • By agreeing to these terms, You acknowledge and accept that the Company’s decision to terminate, restrict, or suspend Your account may be made in its sole discretion and that the Company shall not be liable to You or any Third Party for any such termination, restriction, or suspension.

• Preservation/Disclosure

  • You acknowledge, consent, and agree that the Company may access, preserve, and disclose Your account information if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to:

    • comply with legal process, whether nationally or internationally;

    • The Company reserves the right to monitor and investigate Your use of the App;

    • respond to claims that any Content violates the rights of Third Parties;

    • protect the rights, property, or personal safety of the Company, its End Users and the public; or

    • All actions regarding the access, preservation, and disclosure of Your account information will be conducted in accordance with the terms outlined in the Company’s Privacy Policy. You can review the Privacy Policy here: Privacy Policy

    • We may use Your information to reach You for marketing or promotional purposes through any channel.

    • If You are found to be in violation of the Terms, the Company may take appropriate action, including but not limited to termination or suspension of Your account.

• Security Components

  • You understand and agree that the App and software embodied within the App include security components designed to protect digital materials the use of these materials is subject to usage rules set by the US. You App These security components help ensure the integrity, confidentiality, and availability of Your data.

  • You agree not to attempt to override, disable, circumvent, or otherwise interfere with any security components or usage rules embedded into the App.

• Proprietary Rights

  • The App and/or Features and/or all materials on the App, including, without limitation, names, logos, trademarks, images, text, columns, graphics, graphs, illustrations, artwork, software, and other elements (collectively, “Material”) are protected by copyrights, trademarks and/or other intellectual property rights and owned and controlled by the Company.

  • You acknowledge and agree that all Materials on the App are made available for limited, non-commercial, personal use only. This means: You may use the Material solely for personal purposes and not for any commercial endeavors.

  • The Material is intended for Your individual use and not for distribution for group of people or others.

  • Save as expressly set out in these Terms, You shall not obtain (i) any rights in or to Our proprietary Rights, or (ii) any proprietary rights and other rights in or to the App and/or Facilities or any contents in the App and/or Facilities

  • Except as specifically provided herein or elsewhere in the App, no Material may be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed in any way, or otherwise used for any purpose, by any person or entity, without the Company’s prior express written permission. You may not add, amend, get unauthorized access to, delete, distort, or otherwise modify the Material. Any unauthorized attempt to modify any Material, to defeat or circumvent any security features, or to utilize the App or any part of the Material for any purpose other than its intended purposes is strictly prohibited. We reserve right to take legal action against any unauthorised use of the material or any violation of the proprietary rights of the Company. The security algorithms and methodologies used to track menstrual cycles and provide health insights are proprietary to the Company. Any attempt to reverse-engineer or replicate these algorithms is strictly prohibited.

  • Any End User-Generated Content submitted to the App becomes the property of the Company and may be used in accordance with Our Terms and Privacy Policy.

• Sofy and Links to Third Parties

  • Our App may contain links to other apps or websites owned by Third Parties, including but not limited to advertisers, Affiliate partners, strategic partners, e-commerce companies, or other entities (Collectively, “Third Party Sites”). These links are provided for Your convenience and reference.

  • We do not endorse, guarantee, or warrant the products, Features, or offerings of any Third-Party Sites, nor do We guarantee the accuracy, completeness, or reliability of the content available on these sites. The As Is Company does not assume any responsibility or liability for the actions, products, and content of any such apps or websites or links of such Third-Party Sites. This includes but is not limited to, any errors or omissions in their content, or any loss or damage of any kind incurred as a result of Your use of or reliance on such Third-Party Sites. Before You access or visit any Third-Party Apps or websites, You are advised to review the applicable terms of use and prevailing policies for such Apps or websites. If You decide to access or use any Third-Party Sites, You do so at Your own risk. The Company is not liable for any issues that may arise from Your interaction with these external platforms. Any disputes or concerns regarding Third Party Sites must be directed to the respective Third parties. The Company is not and shall not be involved in such disputes and does not mediate or resolve issues between End Users and Third-Party Sites.

• Cookies

  • We may use cookies to distinguish You from other users of the App and to remember Your preferences. This helps us provide You with a good experience when using the App and also allows Us to improve the App and its Features.

  • Cookies enable us to:

    • Personalize Your experience by remembering Your preferences and settings

    • Analyse usage patterns to improve App performance and functionality

    • Enhance security by identifying and preventing fraudulent activity.

    • Deliver relevant content based on Your interests and behavior.

• Tools And Monitoring-

  • You agree to allow Us to deploy data analytics tools to monitor the App and its usage. This helps Us gather information to decide whether to make changes to the App and its Features and to conduct profiling, such as marketing profiling.

  • You also agree to the collection and use of technical data and related information, including but not limited to technical information about Your device, its system and application software, and peripherals. This information facilitates the provision of updates, product support, and other Features related to the App.

  • By using the App, You consent to Our monitoring and data collection practices, which aim to enhance Your user experience and improve the overall functionality and performance of the App. For more details on how We handle Your data, please refer to our Privacy Policy.

• Disclaimer of Warranties and Liability

  • All materials on this App, including but not limited to software and Features, You are provided on an “AS IS” and “AS AVAILABLE” basis. The Company makes no representation or warranties, express or implied except as specifically set forth in writing. Without limiting to the foregoing paragraph, the Company does not warrant that:

    • The App will be constantly available, or available at all; or

    • The information on the App is complete, true, accurate or non-misleading; or

    • The App will be free from errors, defects, or viruses, or that any defects will be corrected

    The Company disclaims all responsibility for any loss or damage that may result from the use or inability to use the App, including but not limited to any reliance on the information provided on the App.

  • The Company will not be liable to You in any way or in relation to the Material, or use of the Application, or any other connection with the App. The Company does not warrant that the App, or any information, content, materials, product (including software) or Features included on or otherwise made available You through the App are free of viruses or other harmful components.

  • The App is designed primarily for use within India and laws of India shall be applicable or any disputes in relation to the App and/or its Features.

  • This indemnity obligation includes any legal fees and costs incurred by the Indemnified Parties in connection with defending against such claims or enforcing these indemnity provisions.

  • We may require You to follow additional rules, guidelines or other conditions in order to participate in certain promotions or activities available through the App, to obtain certain premium Content through the App, or for other reasons. These additional terms are part of this Terms of Use, and You agree to comply with them when You participate in those promotions, or otherwise engage in activities governed by such additional terms

  • We reserve the right at any time to modify, edit, delete, suspend or discontinue, temporarily or permanently the Feature or any of the App (or any portion thereof) with or without notice. You agree that We will not be liable to You or to any Third Party for any such modification, editing, deletion, suspension or discontinuance of the App.

  • If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

  • This Terms of Use and any rights and licenses granted hereunder, may not be transferred or assigned by You, but may be assigned by the Company without restriction.

  • These Terms of Use together with the Privacy Policy and any other legal notices published by the Company on the App, shall constitute the entire Terms of Use between You and the Company concerning the App and governs Your use of the App, superseding any prior Terms between You and the Company with respect to the App.

  • The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the Parties nevertheless agree that the Court should endeavor to give effect to the Parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
